To our St Joseph Medical Center Federal Credit Union Members:

First, I want to wish everyone a very Happy New Year!

Second, I want to make you aware of some very exciting changes we are proposing for this
year.

One of the most important functions of any board of Directors, no matter the size or the
complexity, is determining the strategic direction of a company. It is a process to look at
current state and plan for the future success of the organization.

During the fall of 2023, while planning for the next 5-year strategy, the SJMCFCU board
identified the following:

Successes:

a) The SJMCFCU has been in existence for over 50 years

b) Our credit union remains financially strong, reflected in a very health
net worth/total asset ratio of around 16%

c) Year after year our credit union budget remains modest but in the black

Opportunities:

a) While our credit union remains strong, we have experienced
a slow decline in utilization of our services, reflected in the
number of loans and share balances

b) We expanded our charter in 2021 to allow access to our services
beyond the walls of SJMC, we have not been able to adequately
market our institution

c) Due to our size, we are not able to increase the number and types of
services such as 1st and 2nd mortgages, improved technology
like ATM machines..etc

Based on the opportunities identified, last year the board made the decision to pursue a
possible merger. After an extensive search and interview process, last summer the board
elected to begin merger discussions with FIRST FINANCIAL Credit Union. The due diligence
process has continued throughout the remainder of last year. I will tell you, as a board we
believe we have truly found another credit union with similar member philosophies as well
as a strong array of member services.

Very soon you will receive a letter in the mail outlining our entire process, reasons behind
our proposed path forward as well as information about First Financial.

All of this requires a majority approval by the membership. To that end, you will also
receive communication about a special meeting to be held March 18th at 10:30 am in
Noppenberger A+B to discuss the proposed merger as well as an ask for your vote. If you
cannot attend this special meeting, the letter will also have a ballot for you to vote. This
ballot needs to be mailed back to a third-party vendor who will tally the votes.

I am extremely excited and truly believe this is the right path for us in order to support our
members moving forward.

I want to reiterate, this proposed merger was initiated by our board, and we are doing so
from a strong financial perspective.

Thank you for your continued support of OUR St Joseph Medical Center Federal Credit
Union.

Tom Gronert
Board Chair
